Terms and Conditions Effective Date: 19 May 2026 Last Updated: 19 May 2026 Service: BizMitra Solutions - WhatsApp API Solution CRM Provider: BizMitra Solutions, Bangalore, Karnataka, India Website: https://wa.bizmitrasolutions.in 1. Acceptance of Terms By accessing or using BizMitra Solutions WhatsApp API Solution CRM (“Service”, “Platform”), you (“Customer”, “you”, “Business”) agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, Meta Platform Terms, and WhatsApp Business Terms of Service. If you do not agree, do not use the Service. You represent that you have authority to bind your business to these Terms. 2. Description of Service BizMitra Solutions is a Meta Tech Provider offering a CRM and messaging platform that enables businesses to use the WhatsApp Business Platform via API. The Service includes: phone number onboarding, message sending/receiving, automation, CRM features, webhooks, and analytics. We do not provide WhatsApp itself. WhatsApp is provided by Meta Platforms, Inc. Your use of WhatsApp is subject to WhatsApp Business Terms of Service. 3. Customer Eligibility & Account Registration You must be a registered business entity and provide accurate business, GST, and contact information. You must complete Meta Business Verification and comply with WhatsApp Commerce Policy. You are responsible for maintaining the security of your account credentials, API keys, and Meta Business Manager access. One WhatsApp Business Account (WABA) per business entity unless approved by Meta. 4. Customer Obligations & Acceptable Use You agree to: Comply with All Policies: Follow Meta Platform Terms, WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, and all applicable laws including DPDP Act 2023, GDPR, TCPA. Obtain End-User Consent: You must obtain verifiable opt-in from end-users before sending them WhatsApp messages. You must honor opt-out requests immediately. Pre-checked boxes or implied consent are not allowed. Message Content Rules: Do not send prohibited content: adult, alcohol, gambling, weapons, tobacco, pharmaceuticals, crypto, or misleading content per WhatsApp Commerce Policy. Do not send spam or unsolicited messages. Use Approved Templates Only: For business-initiated messages outside the 24-hour customer service window, use only Meta-approved Message Templates. Do not attempt to bypass template requirements. Maintain Data Accuracy: Provide accurate business display name, category, and description. Do not impersonate others. No Reverse Engineering: Do not attempt to access WhatsApp APIs directly outside of BizMitra Solutions or Meta’s official interfaces. Quality Standards: Maintain a healthy phone number quality rating. If your number is flagged Yellow/Red due to blocks or spam reports, service may be suspended. 5. Meta & WhatsApp Requirements Tech Provider Role: BizMitra Solutions acts as your Tech Provider under Meta’s terms. You are the Data Controller for end-user data. We are a Data Processor. Data Processing: You authorize us and Meta to process message data as needed to deliver the Service per our Data Processing Addendum. Business Verification: You authorize BizMitra Solutions to assist with Meta Business Verification and WABA creation on your behalf. Audits: You acknowledge Meta may audit your messaging practices. You agree to cooperate and provide data if requested. 6. Fees, Billing & Messaging Costs Subscription Fees: Platform fees are billed monthly/annually in advance per our pricing page. Non-refundable except where required by law. Meta Conversation Fees: You are responsible for all WhatsApp conversation charges levied by Meta based on user country, message category, and volume. BizMitra Solutions may pre-pay Meta and invoice you, or you may pay Meta directly. Taxes: All fees exclude GST and other taxes. You are responsible for applicable taxes. Suspension for Non-Payment: We may suspend service if invoices are overdue by 7 days. Data may be deleted after 30 days of non-payment. 7. Service Levels & Availability Uptime Target: We aim for 99.5% monthly uptime excluding Meta outages, scheduled maintenance, or force majeure. No SLA on WhatsApp: WhatsApp delivery depends on Meta, carriers, and end-user devices. We do not guarantee message delivery, speed, or read rates. Rate Limits: You must comply with WhatsApp messaging limits, tier limits, and per-second throughput caps. We may queue or reject messages that exceed limits. 8. Intellectual Property Our IP: BizMitra Solutions, platform, logos, and software are owned by us. You receive a limited, non-exclusive, non-transferable license to use the Service. Your Data: You retain ownership of your business data and message content. You grant us license to process it to provide the Service. Feedback: Any feedback you provide may be used by us without obligation. 9. Confidentiality Both parties agree to keep confidential any non-public business, technical, or customer information received through use of the Service. 10. Disclaimers & Limitation of Liability Service “As Is”: The Service is provided “as is”. We disclaim all warranties except as expressly stated. We are not liable for Meta policy changes, WhatsApp outages, or actions by Meta. No Liability for Content: You are solely liable for messages you send and consent you obtain. We are not responsible for end-user complaints. Liability Cap: To the maximum extent permitted by law, our total liability will not exceed fees paid by you to us in the 3 months prior to the claim. No Indirect Damages: We are not liable for lost profits, data loss, or indirect damages. 11. Indemnification You agree to indemnify and hold BizMitra Solutions harmless from any claims, damages, or penalties arising from: your breach of these Terms, violation of Meta/WhatsApp policies, messages you send, or failure to obtain end-user consent. 12. Suspension & Termination By You: Cancel anytime from dashboard. Fees for current billing period are non-refundable. By Us: We may suspend or terminate if you violate Terms, Meta policies, or law; if your WhatsApp quality rating is Red; or upon Meta request. We will provide notice unless prohibited. Effect of Termination: Access ends immediately. You may export data for 15 days. We may delete data after 30 days. Meta conversation fees already incurred remain payable. 13. Changes to Terms or Service We may update these Terms to reflect policy or legal changes. Material changes will be notified 14 days in advance via email and dashboard. Continued use means acceptance. Meta may also change WhatsApp policies at any time, and you must comply. 14. Governing Law & Dispute Resolution These Terms are governed by laws of India. Courts in Bangalore, Karnataka have exclusive jurisdiction. Disputes will first attempt resolution via good-faith negotiation for 30 days. 15. Miscellaneous Entire Agreement: These Terms + Privacy Policy + DPA form the entire agreement. Severability: If any clause is invalid, the rest remain in effect. Assignment: You may not assign these Terms. We may assign to affiliates or successors.
